"This portfolio examines the prohibition against the corporate practice of the profession of medicine, with a special focus on the obstacles--sometimes unexpected--that the prohibition poses despite vast changes in the delivery of health care since the prohibition originated in the early 20th century. To accomplish its broad public policy goal of protecting consumers of medical care, the corporate practice doctrine seeks to prevent the commercial exploitation of the practice of medicine and undue interference by lay persons in medical decisions. It also seeks to ensure that the loyalty of physicians remains with their patients, rather than those who pay the physicians. Developed through state law and the decisions of the courts as well as state medical licensing and regulatory bodies, the corporate practice prohibition has taken widely divergent forms, as illustrated in the Working Papers. The portfolio also analyzes, in particular, the body of law addressing corporate practice prohibition issues raised by the variety of managed care arrangements."
